Chapter I General Provisions

Article 1 [Name] The name of this organization is: International Mental Health Management Association (China Representative Office). English Name: International Mental Health Management Association (China Representative Office). Abbreviation: IMHMA-China Office.

Article 2 [Nature] This Office is a Representative Institution established in China by the International Mental Health Management Association (Headquarters). At the same time, this Office is also a professional and academic consortium voluntarily formed by professionals, enterprises, and institutions engaged in psychological consulting, mental health management, applied psychology research, and related fields. This Office accepts the academic guidance of the International Mental Health Management Association (Headquarters) and conducts activities in mainland China in accordance with laws and regulations.

Article 3 [Purpose] This Office abides by the Constitution, laws, regulations, and national policies of the People's Republic of China, practices core socialist values, and observes social morality. The purpose is: "Linking International Standards, Serving the Chinese Public." It is dedicated to enhancing the professional level of China's mental health management industry and promoting the standardization, scientific development, and popularization of psychological consulting and health management services.

Article 4 [Address] The address of this Office is located in: Jiangsu Province, China.


Chapter II Business Scope

Article 5 [Business Scope] The business scope of this Office is as follows:

  1. Standard Setting: Formulating and promoting industry standards, ethical codes, and service processes for psychological consulting and mental health management;

  2. Professional Training: Conducting vocational skills training, continuing education, and supervision services for psychological consultants and mental health managers;

  3. Competence Evaluation: Establishing a professional talent evaluation system and issuing training completion certificates and competence certification certificates based on international standards;

  4. Social Service: Establishing psychological service workstations to provide psychological consulting, EAP (Employee Assistance Program), and crisis intervention services to society, schools, and enterprises/institutions;

  5. Academic Exchange: Organizing international and domestic academic conferences, and translating/introducing advanced international psychological technologies and literature;

  6. Popular Science Promotion: Popularizing mental health knowledge and improving public mental health literacy.


Chapter III Membership

Article 6 [Types of Membership] The membership of this Office is divided into:

  1. Individual Members: Psychological consultants, doctors, teachers, social workers, and psychology enthusiasts;

  2. Unit Members: Psychological consulting agencies, medical institutions, educational institutions, and related enterprises.

Article 7 [Conditions for Membership] Members applying to join this Office must meet the following conditions:

  1. Uphold the Articles of Association of this Office;

  2. Have the willingness to join this Office;

  3. Have a certain influence in the field of mental health or have undergone professional training recognized by this Office.

Article 8 [Rights of Members]

  1. The right to vote, stand for election, and vote on resolutions in this Office;

  2. Priority participation in the activities of this Office (such as annual meetings, workshops);

  3. Priority access to services of this Office (such as discounts on supervision fees, legal aid);

  4. The right to criticize, suggest, and supervise the work of this Office;

  5. Voluntary membership and freedom to withdraw.

Article 9 [Obligations of Members]

  1. Execute the resolutions of this Office;

  2. Maintain the legitimate rights and interests and reputation of this Office;

  3. Complete the continuing education hours prescribed by this Office;

  4. Pay membership dues in accordance with regulations;

  5. Abide by the Code of Ethics of this Office; using the name of this Office to engage in illegal activities is strictly prohibited.

Article 10 [Withdrawal and Expulsion] Members withdrawing from membership shall notify this Office in writing and return their membership cards. Members who fail to pay membership dues or participate in the activities of this Office for 2 years shall be regarded as automatically withdrawing. Members who seriously violate these Articles or the Code of Ethics shall be expelled and publicized after being voted on and passed by the Council.


Chapter IV Organization

Article 11 [Highest Authority] The highest authority of this Office is the Member Representative Assembly. Its powers are:

  1. Formulate and amend the Articles of Association;

  2. Elect and remove Council members;

  3. Deliberate on the work report and financial report of the Council;

  4. Decide on termination matters.

Article 12 [The Council] The Council is the executive body of the Member Representative Assembly. It leads the daily work of this Office when the Assembly is not in session and is responsible to the Member Representative Assembly. The Council shall have one President, several Vice Presidents, and one Secretary-General.

Article 13 [Secretariat] This Office establishes a Secretariat as the daily administrative body. The Secretariat is presided over by the Secretary-General and is responsible for:

  1. Executing Council resolutions;

  2. Implementing annual work plans;

  3. Coordinating the work of various workstations and professional committees;

  4. Handling member admissions and daily management affairs.


Chapter V Asset Management and Use

Article 14 [Source of Funds]

  1. Membership Dues;

  2. Donations;

  3. Government Funding;

  4. Income from activities or services carried out within the approved business scope (such as training fees, consulting fees);

  5. Interest and other legal income.

Article 15 [Use of Funds] The funds of this Office must be used for the development of the business scope and undertakings prescribed in these Articles and shall not be distributed among members. This Office establishes a strict financial management system to ensure that accounting data is legal, true, accurate, and complete.


Chapter VI Procedure for Amendment of Articles

Article 16 Amendments to the Articles of Association of this Office must be voted on and passed by the Council before being submitted to the Member Representative Assembly for deliberation.


Chapter VII Supplementary Provisions

Article 17 These Articles of Association were voted on and passed by the Member Representative Assembly on March 22, 2025.

Article 18 The right to interpret these Articles belongs to the Council of this Office.
